Terms of Service
These Terms of Service ("Terms") govern your access to and use of GridRocket ("GridRocket", "we", "us"), including our website, dashboard, APIs, and the managed servers we provision and operate on your behalf (collectively, the "Service"). By creating an account or launching a machine, you agree to these Terms.
YOUR ACCOUNT
You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for the accuracy of your registration details, for keeping your credentials secret, and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without your authorization. Accounts are personal; do not share your login with others.
MACHINE CREDENTIALS AND GATEWAY TOKENS
When you launch a machine, we generate credentials for it — including root or administrator passwords and agent gateway tokens — and display them to you in your dashboard. You are solely responsible for protecting those credentials, for rotating them, and for any action taken on your machine using them. Anyone holding your gateway token can operate the AI agent running on your machine. Do not paste tokens into untrusted tools, public repositories, or shared chats.
THE SERVICE
GridRocket provisions virtual machines in third-party datacenters, installs and configures the AI agent software you select, issues HTTPS certificates and a subdomain for your machine, and provides lifecycle tooling such as launch, reconciliation, restart, and termination. Machines are dedicated to your account for the duration of your subscription slot.
We do not author the AI agent software that runs on your machine. Agent software is provided by its respective vendors under their own licenses and terms, and it may change, break, or be discontinued independently of us. We make no representation that any agent will produce accurate, safe, or fit-for-purpose output.
YOUR CONTENT AND WORKLOADS
You retain ownership of the data, prompts, code, models, and other content you place on your machine ("Your Content"). You grant us only the limited rights needed to operate the Service: to store, transmit, back up, and process Your Content for provisioning, support, security, and billing purposes.
You are solely responsible for Your Content, for what your agent does with it, and for complying with all laws and third-party terms applicable to your workloads — including the terms of any model provider, API, or dataset your agent accesses.
ACCEPTABLE USE
You will not use the Service, or allow an agent running on your machine, to: send unsolicited bulk email or messages; host or distribute malware, phishing pages, or botnet infrastructure; conduct port scanning, denial-of-service attacks, credential stuffing, or unauthorized penetration testing; mine cryptocurrency; scrape or access systems in violation of their terms or applicable law; store or distribute child sexual abuse material or other illegal content; infringe intellectual property or privacy rights; or violate export control, sanctions, or securities laws.
We may suspend or terminate a machine or an account immediately and without refund if we determine, in our reasonable judgment, that it is being used in violation of this section, or if our infrastructure providers require us to do so. Where practical we will notify you first, but we may act first when there is risk of ongoing harm.
RESOURCE LIMITS
Each plan includes a defined amount of compute, memory, storage, and bandwidth. Sustained use that materially degrades shared infrastructure, or use that exceeds the published limits of your plan, may result in throttling, an upgrade requirement, or suspension.
FEES, BILLING, AND CANCELLATION
Subscription slots are billed in advance on a recurring basis through our payment processor at the prices shown at checkout, in U.S. dollars, plus any applicable taxes. Your subscription renews automatically until cancelled.
You may cancel a slot at any time from your dashboard. Cancellation stops future renewals; it does not generate a pro-rated refund for the current period. Charges already incurred are non-refundable except where required by law or where we choose, at our discretion, to issue a credit.
If a payment fails, we may suspend the associated machine. Machines associated with a lapsed or cancelled slot may be terminated and their storage permanently deleted after the end of the paid period. Export anything you need before cancelling.
DATA, BACKUPS, AND DELETION
We do not guarantee backups of the contents of your machine unless a backup feature is explicitly included in your plan and enabled. You are responsible for maintaining your own copies of anything you cannot afford to lose. When a machine is terminated, its disk is destroyed by the underlying infrastructure provider and its data is not recoverable by us.
AVAILABILITY
We aim for high availability but do not offer an uptime guarantee unless one is stated in a separate written agreement. Maintenance, infrastructure provider outages, upstream network events, and agent software failures can interrupt service.
INTELLECTUAL PROPERTY
The GridRocket name, logo, dashboard, orchestration software, documentation, and site content are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service as intended. You may not copy, resell, reverse engineer, or create derivative works of our orchestration platform, or use our marks in a way that suggests endorsement or affiliation.
THIRD-PARTY SERVICES
The Service depends on third parties, including datacenter and infrastructure providers, DNS and certificate authorities, payment processors, and agent software vendors. Their terms and privacy practices apply to their portion of the stack. We are not responsible for third-party content, outages, or actions, and you will look to the relevant third party for claims relating to their services.
SUSPENSION AND TERMINATION
You may stop using the Service at any time. We may suspend or terminate your access for non-payment, violation of these Terms, legal requirement, or risk to the Service or other customers. On termination, your right to use the Service ends and your machines may be destroyed.
WARRANTY DISCLAIMER
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY AGENT WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AGENT OUTPUT WILL BE CORRECT OR SUITABLE FOR ANY PURPOSE.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST GOODWILL, BUSINESS INTERRUPTION, OR LOST OR CORRUPTED DATA, EVEN IF ADVISED OF THE POSSIBILITY. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO THEY MAY NOT APPLY TO YOU.
INDEMNIFICATION
You will defend, indemnify, and hold harmless GridRocket and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from Your Content, your workloads, your use of the Service, or your violation of these Terms or applicable law.
FORCE MAJEURE
We are not responsible for delay or failure in performance caused by events beyond our reasonable control, including natural disasters, network or utility failures, infrastructure provider outages, government action, cyberattacks, or defects in third-party software.
CHANGES TO THESE TERMS
We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date above and, where appropriate, announced in the dashboard. Your continued use of the Service after changes take effect constitutes acceptance.
GOVERNING LAW
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. You consent to exclusive jurisdiction and venue in the state and federal courts located in California. Any claim must be brought within one (1) year after it arises or be permanently barred.
